These Terms and Conditions ("Terms") govern your access to and use of LifeBinder®, a digital information organization and sharing platform owned and operated by B3 Solutions, LLC, doing business as LifeBinder® ("LifeBinder," "Company," "we," "us," or "our").

By creating an account, accessing, or using LifeBinder, you agree to these Terms and our Privacy Policy. If you do not agree to these Terms, you should not use LifeBinder.

IMPORTANT NOTICE REGARDING DISPUTE RESOLUTION: These Terms contain an arbitration provision and class-action waiver in Section 17. Please read that section carefully because it affects your legal rights.

1. Purpose of LifeBinder

LifeBinder provides a secure digital platform designed to help individuals organize, maintain, and selectively share important personal, financial, insurance, legal, medical, digital, tax, and estate-related information and documents.

LifeBinder is an organizational and information-management tool. It does not replace professional advice or professional recordkeeping systems.

2. No Legal, Financial, Tax, Medical, or Other Professional Advice

LifeBinder does not provide legal, financial, investment, insurance, tax, accounting, medical, healthcare, or other professional advice.

Information, educational materials, prompts, organizational categories, examples, checklists, or other content available through LifeBinder are provided for general informational and organizational purposes only.

You should consult an appropriately qualified professional regarding decisions requiring legal, financial, tax, medical, insurance, estate-planning, or other professional advice.

Your use of LifeBinder does not create an attorney-client, financial-advisor, fiduciary, healthcare-provider, or other professional relationship between you and B3 Solutions, LLC.

If you receive LifeBinder through a professional advisor, law firm, employer, sponsor, or other organization, your relationship with that organization is separate from your relationship with LifeBinder.

3. Eligibility

To use LifeBinder, you must:

  • Be at least 18 years old or the applicable age of legal majority in your jurisdiction;
  • Have the legal capacity to enter into a binding agreement; and
  • Use LifeBinder in accordance with these Terms and applicable law.

We may restrict, suspend, or terminate access when reasonably necessary to protect LifeBinder, its users, other persons, or the security and integrity of the Service.

4. Accounts and Account Responsibilities

4.1 Accurate Information

You agree to provide accurate and reasonably complete information when creating or maintaining your account and to keep your primary email address and other required account information current.

4.2 Account Credentials

You are responsible for safeguarding your account credentials and for activities conducted through your account, except to the extent caused by circumstances for which LifeBinder is legally responsible.

You may not publish, distribute, sell, transfer, or knowingly provide your login credentials to another person for the purpose of allowing that person to impersonate you.

4.3 Multi-Factor Authentication and Security Measures

LifeBinder may require multi-factor authentication or other identity-verification and security measures as a condition of accessing an account or particular features.

You agree not to disable, circumvent, or interfere with security features.

4.4 Unauthorized Access

You should promptly notify LifeBinder at [email protected] if you believe:

  • Your credentials have been compromised;
  • Someone has accessed your account without authorization;
  • Information has been improperly disclosed; or
  • A security-related event has affected your account.

We may temporarily restrict access while investigating suspected unauthorized activity.

5. Information You Store in LifeBinder

5.1 Your Information

As between you and LifeBinder, you retain your rights in the information and documents you place in your LifeBinder account ("User Content").

You grant LifeBinder and its authorized service providers the limited rights necessary to host, store, process, transmit, back up, display, and otherwise handle User Content solely as reasonably necessary to provide, secure, maintain, support, and improve the Service and to comply with applicable law.

LifeBinder does not acquire ownership of your User Content merely because you store it in LifeBinder.

5.2 Information About Other People

You may store information concerning a spouse, partner, family member, beneficiary, advisor, or other third party only when you have the legal right or appropriate authorization to do so.

You are responsible for determining whether you have appropriate authority to collect, store, upload, or share information concerning another person.

5.3 Prohibited Content

You may not knowingly use LifeBinder to store or distribute content that:

  • You have no legal right to possess or disclose;
  • Violates applicable law;
  • Infringes another person's intellectual-property or privacy rights;
  • Contains malicious software or code intended to interfere with LifeBinder or another system; or
  • Is used to facilitate unlawful activity.

6. LifeBinder Account and Service Arrangements

LifeBinder may be made available through several service arrangements.

6.1 Individual or Retail Accounts

An individual may obtain LifeBinder directly for personal use through an available subscription offering.

6.2 Professional Advisor or Law Firm Accounts

LifeBinder may be provided through a law firm, financial professional, advisor, or other professional organization.

Depending upon the particular service arrangement, the professional organization and its authorized personnel may have administrative capabilities associated with your account, such as establishing or maintaining client relationships, assigning professionals or staff, uploading documents, assisting with implementation, or accessing information that you or the applicable account configuration permits them to access.

The specific relationship between you and the professional organization may also be governed by separate agreements between you and that organization.

LifeBinder does not determine the professional services that the organization provides to you.

6.3 Sponsored Accounts

LifeBinder may be provided through an employer, association, benefit provider, sponsor, or other organization ("Sponsoring Organization").

A Sponsoring Organization does not have access to the contents of a sponsored user's LifeBinder. Sponsorship of a LifeBinder subscription does not give the Sponsoring Organization access to information, documents, Tabs, or other content stored within the user's Binder.

LifeBinder may provide a Sponsoring Organization with limited account-administration information reasonably necessary to establish, manage, reconcile, or account for its sponsored subscriptions. This may include the number of sponsored users, the names and email addresses of individuals receiving sponsored subscriptions, and other limited information reasonably necessary for subscription administration, billing, or account reconciliation.

Users receiving LifeBinder through a Sponsoring Organization will be informed that their subscription is sponsored and that limited identifying and account-administration information may be shared with the Sponsoring Organization for these purposes.

6.4 Account Roles and Permissions

Access to information within LifeBinder is governed by account type, account configuration, user role, sharing decisions, and other permissions established within the Service.

Not every account type or user role has access to every LifeBinder feature.

7. Sharing and Permissions

LifeBinder allows users to share selected information with other people.

7.1 User-Controlled Sharing

Depending upon the feature being used, you may be able to share selected Tabs, subtabs, information, or documents with another person.

You are responsible for reviewing what you are sharing and confirming the identity and contact information of the intended recipient before initiating a share.

7.2 Recipient Responsibilities

A person receiving shared information must:

  • Use the information only for lawful and authorized purposes;
  • Respect the confidential and sensitive nature of the information; and
  • Not knowingly disclose the information to unauthorized third parties.

7.3 Information Outside LifeBinder

Once a recipient has lawfully viewed, downloaded, copied, printed, or otherwise received information outside the LifeBinder platform, LifeBinder cannot control how that recipient subsequently uses, stores, secures, or discloses the information.

7.4 Shared-Access Accounts

A recipient may be required to establish a LifeBinder account before accessing certain shared information. Creation or use of such an account constitutes acceptance of these Terms.

Access to shared information does not automatically provide the recipient with the rights or features of a paid or sponsored LifeBinder account.

8. Couples, Joint Information, and Account Ownership

Certain LifeBinder arrangements may allow two individuals, such as spouses or partners, to participate in a shared or associated Binder.

The rights, configuration, and functionality associated with primary and secondary account holders may differ. Users should not assume that primary and secondary account designations can be changed, separated, or transferred without affecting the underlying account or stored information.

If a marriage, partnership, or other relationship ends, or if one account holder dies or becomes incapacitated, users should contact LifeBinder or the professional organization through which the account was established before deleting or materially altering the account.

Account-management options may depend upon the configuration of the account, applicable permissions, contractual arrangements, and applicable law.

9. Legacy Contact, Incapacity, and Death

9.1 Legacy Contact

LifeBinder may provide a Legacy Contact or similar feature allowing an account holder to designate another individual to receive specified access following the account holder's death, incapacity, or another qualifying event.

The availability, activation, scope, and timing of Legacy Contact access are governed by the settings and procedures available within LifeBinder at the relevant time.

Designation as a Legacy Contact does not itself create a power of attorney, fiduciary appointment, executorship, trusteeship, beneficiary designation, or other legal authority outside the LifeBinder platform.

9.2 Access Following Incapacity or Death

LifeBinder does not independently grant access to a user's Binder following the user's incapacity or death and will not disclose Binder contents to a person solely because that person presents a power of attorney, guardianship document, court appointment, letters testamentary, letters of administration, or other legal documentation.

Access to a LifeBinder account and its contents is determined by the ownership, sharing, Legacy Contact, and other permissions established by the Binder owner before the owner's incapacity or death.

Where appropriate, LifeBinder may provide reasonable assistance to an authorized individual in understanding the available process for accessing an account through permissions or access rights that were previously established by the Binder owner. However, LifeBinder will not create new access rights, change Binder ownership, expand existing permissions, or provide Binder contents to a person who was not previously granted access by the Binder owner.

A spouse, partner, or other individual who is already an owner or authorized user of a Binder may continue to have access consistent with the ownership and permissions associated with that account.

The Binder owner is responsible for determining who should have access to information in the event of incapacity or death and for establishing the appropriate access before such an event occurs. This may include, for example, providing appropriate sharing permissions or establishing Legacy Contact access for an individual who serves, or may later serve, as an agent under a power of attorney, executor, personal representative, trustee, family member, or other trusted person.

Legal authority to act on behalf of an individual does not, by itself, create access rights within LifeBinder. LifeBinder's role is limited to administering the access and sharing functionality established through the Service by the Binder owner.

10. Fees, Subscriptions, and Payment

10.1 Subscription-Based Access

LifeBinder is provided on a subscription basis. Subscription pricing, billing frequency, renewal terms, and included features will be disclosed when the Service is purchased or otherwise made available.

LifeBinder may offer different subscription arrangements depending upon whether access is purchased directly by an individual or provided through a professional organization, employer, sponsor, or other third party.

10.2 Recurring Subscriptions

If you purchase a LifeBinder subscription directly, the subscription may automatically renew for the renewal period disclosed at the time of purchase unless it is cancelled in accordance with the applicable cancellation instructions.

You authorize LifeBinder or its authorized payment processor to charge the applicable payment method for subscription fees when due.

Subscription prices may change from time to time. If a price change applies to an existing subscription, LifeBinder will provide notice before the new price becomes effective as required by applicable law.

10.3 Professional and Sponsored Accounts

If a law firm, professional advisor, employer, sponsor, or other organization provides or pays for your LifeBinder access, your continued access may depend upon that organization's agreement with LifeBinder.

If that relationship ends or the organization no longer provides LifeBinder access, your sponsored or professionally provided subscription may end or change.

When available, LifeBinder may provide you with an opportunity to continue using your existing Binder by converting to an individual subscription under the pricing and terms then in effect.

10.4 Refunds and Cancellation

Cancellation of a subscription stops future renewals but does not ordinarily result in a refund of amounts already paid, except where otherwise stated at the time of purchase or required by applicable law.

Additional cancellation, billing, or refund terms may be disclosed as part of the applicable subscription offering.

11. Service Changes, Discontinuation, and Data Export

LifeBinder may modify features, functionality, interfaces, security requirements, or other elements of the Service as the platform evolves.

We may discontinue a feature or service when reasonably necessary for operational, security, legal, technological, or business reasons.

If LifeBinder discontinues the Service in a manner that materially affects users' ability to access stored User Content, we will make reasonable efforts to provide advance notice and an opportunity to retrieve or export available User Content, unless immediate action is required for legal or security reasons.

Available export methods may vary based upon the type of information and functionality involved.

12. Privacy, Confidentiality, and Data Security

12.1 Privacy Policy

LifeBinder's collection and handling of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

12.2 Security Program

LifeBinder maintains administrative, technical, and organizational safeguards designed to protect the confidentiality, integrity, and availability of information appropriate to the nature of the Service and the sensitivity of the information processed.

Our security program may include access controls, authentication safeguards, encryption, security monitoring, vulnerability management, secure software-development and change-management practices, workforce security requirements, vendor-risk management, incident-response procedures, and other safeguards.

Security measures evolve over time in response to changes in technology, risks, business operations, and applicable requirements.

12.3 Service Providers

LifeBinder uses third-party service providers to support functions such as hosting, communications, payment processing, software development, security, and business operations.

Where appropriate, LifeBinder evaluates service providers based upon the nature and risk of the services provided and establishes contractual requirements regarding confidentiality, data protection, and security.

12.4 Security Limitations

No online service, network, storage system, encryption method, or security control can eliminate all risk.

LifeBinder therefore does not guarantee that unauthorized third parties will never defeat security measures or improperly access information.

Nothing in this section limits any responsibility that cannot lawfully be limited.

12.5 Security Incidents

LifeBinder maintains processes for evaluating and responding to suspected security incidents.

If an incident requires notification under applicable law, LifeBinder will provide legally required notifications in accordance with applicable requirements.

13. Data Retention and Account Deletion

You may request deletion of an eligible LifeBinder account by contacting [email protected] or by using deletion functionality made available within the Service.

Deletion is subject to:

  • Applicable legal and regulatory requirements;
  • Legitimate security, fraud-prevention, dispute-resolution, and recordkeeping needs;
  • Contractual obligations relating to professional or sponsored accounts; and
  • Reasonable technical periods required to remove information from backups and other protected systems.

Deletion of an account may permanently remove information and may affect other people associated with a shared or jointly configured account.

For this reason, users of shared, professional, sponsored, or couple-based accounts should confirm the consequences of deletion before proceeding.

14. Acceptable Use

You agree not to:

  • Use LifeBinder in violation of applicable law;
  • Attempt to gain unauthorized access to another user's account, LifeBinder systems, or restricted information;
  • Circumvent authentication, access-control, rate-limit, or other security mechanisms;
  • Probe, scan, or test LifeBinder systems for vulnerabilities without written authorization;
  • Upload malware or other harmful code;
  • Use LifeBinder to send unlawful spam or malicious communications;
  • Impersonate another person or misrepresent your authority to act for another person;
  • Reverse engineer, decompile, disassemble, or attempt to derive LifeBinder source code except to the limited extent such restriction is prohibited by applicable law;
  • Interfere with or disrupt the operation or security of the Service; or
  • Use LifeBinder in a manner that materially infringes the rights of others.

Violation of these requirements may result in restriction, suspension, or termination of access.

15. Intellectual Property

LifeBinder®, the LifeBinder software, platform design, interfaces, documentation, branding, logos, and LifeBinder-provided content are owned by or licensed to B3 Solutions, LLC and are protected by applicable intellectual-property laws.

Subject to these Terms, LifeBinder grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for its intended purpose.

Except as expressly permitted, you may not reproduce, modify, distribute, publicly display, sell, sublicense, or commercially exploit LifeBinder's proprietary software or content.

LifeBinder® and associated LifeBinder branding are trademarks of B3 Solutions, LLC.

16. Third-Party Services and Links

LifeBinder may interact with or provide links to services operated by third parties.

Third-party services are governed by their own terms, privacy practices, availability, and security controls.

LifeBinder is not responsible for the independent acts or omissions of a third party merely because its service integrates with, supports, or is linked from LifeBinder, except to the extent responsibility is imposed by applicable law or an agreement to which LifeBinder is a party.

17. Dispute Resolution, Arbitration, and Class-Action Waiver

17.1 Informal Resolution

Before initiating arbitration or litigation, you and LifeBinder agree to make a good-faith effort to resolve the dispute informally.

A party seeking to raise a dispute should provide written notice describing the nature of the dispute and requested relief.

17.2 Governing Law

Except where federal law governs or applicable law requires otherwise, these Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles.

17.3 Binding Arbitration

To the fullest extent permitted by law, disputes arising out of or relating to these Terms or your use of LifeBinder that cannot be resolved informally will be resolved through binding individual arbitration rather than in court.

Arbitration will be administered by the American Arbitration Association under the rules applicable to the dispute, except as otherwise required by law.

The Federal Arbitration Act governs the interpretation and enforcement of this arbitration provision where applicable.

17.4 Class-Action Waiver

To the fullest extent permitted by law, you and LifeBinder agree that claims will be brought only in an individual capacity and not as a plaintiff, claimant, or class member in any purported class, collective, consolidated, or representative proceeding.

17.5 Exceptions

Nothing in this section prevents either party from seeking appropriate relief in small-claims court when the claim qualifies or seeking temporary or injunctive relief necessary to prevent misuse of intellectual property, unauthorized system access, or similar immediate harm where permitted by law.

17.6 Rights That Cannot Be Waived

Nothing in these Terms waives rights or remedies that applicable law does not permit you or LifeBinder to waive.

18. Disclaimer of Warranties

To the fullest extent permitted by applicable law, LifeBinder is provided on an "as is" and "as available" basis.

LifeBinder does not warrant that:

  • The Service will operate without interruption or error;
  • Every feature will remain available indefinitely;
  • Information entered by users will be accurate or complete;
  • The Service will meet every user's particular requirements; or
  • The Service will be completely immune from cybersecurity threats or unauthorized activity.

To the fullest extent permitted by law, LifeBinder disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Some jurisdictions do not allow certain warranty exclusions, so portions of this section may not apply to you.

19. Limitation of Liability

To the fullest extent permitted by applicable law, B3 Solutions, LLC and its officers, directors, employees, and agents will not be liable for indirect, special, incidental, exemplary, punitive, or consequential damages arising from your use of or inability to use LifeBinder, including loss of profits or business opportunity.

To the fullest extent permitted by law, LifeBinder's aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of:

  • $500; or
  • The amount paid directly to LifeBinder for the applicable user's Service during the twelve months preceding the event giving rise to the claim.

These limitations do not apply to liabilities that cannot legally be excluded or limited.

20. Suspension and Termination

LifeBinder may suspend or terminate access when reasonably necessary because of:

  • Material violation of these Terms;
  • Fraudulent, unlawful, or abusive activity;
  • A material threat to the security or integrity of LifeBinder or another user;
  • Nonpayment of applicable fees;
  • Termination of an applicable professional or sponsored service arrangement; or
  • Legal or regulatory requirements.

When circumstances reasonably permit, LifeBinder may provide notice and an opportunity to address the issue before permanent termination.

Provisions that by their nature should survive termination—including provisions concerning intellectual property, disclaimers, limitations of liability, dispute resolution, and legal obligations—will survive termination.

21. Electronic Communications

By providing an email address or other electronic contact information, you agree that LifeBinder may send you transactional, security, administrative, account, and legally required communications electronically.

Marketing communications, where applicable, will be handled in accordance with applicable law and available communication preferences.

You are responsible for maintaining a current email address so that you can receive important account and security notices.

22. Changes to These Terms

We may update these Terms from time to time to reflect changes in the Service, applicable law, security requirements, business practices, or other circumstances.

When changes are material, we will provide reasonable notice through the Service, email, or another appropriate method.

The updated Terms will state their effective date.

Where applicable law requires affirmative consent to a change, we will request that consent. Otherwise, continued use of LifeBinder after the effective date of revised Terms constitutes acceptance of those Terms.

23. Miscellaneous

23.1 Entire Agreement

These Terms, together with the Privacy Policy and any additional terms expressly applicable to a particular LifeBinder offering, constitute the agreement between you and LifeBinder regarding your use of the Service.

23.2 Conflicting Professional or Sponsor Agreements

LifeBinder may have separate agreements with professional organizations, Sponsoring Organizations, or other business customers. Those agreements may establish additional rights and responsibilities between LifeBinder and the applicable organization.

A separate agreement with a Sponsoring Organization does not give that organization access to the contents of a sponsored user's Binder. Any information provided to a Sponsoring Organization is limited as described in Section 6.3 and our Privacy Policy.

Separate agreements with professional organizations, such as law firms or professional advisors, may establish account-administration roles or access rights consistent with the applicable account configuration, professional relationship, and user permissions.

Nothing in such an agreement eliminates an end user's rights under these Terms or applicable law.

23.3 Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

23.4 No Waiver

Failure to enforce a provision of these Terms does not waive the right to enforce that provision later.

23.5 Assignment

You may not assign your rights under these Terms without our consent.

LifeBinder may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, financing transaction, or similar business transaction, subject to applicable law.

23.6 Force Majeure

LifeBinder will not be responsible for delay or failure caused by circumstances beyond its reasonable control, subject to obligations that cannot lawfully be limited.
